1. Service Description
AgentCEO is a B2B SMS outreach platform that enables partners to send targeted text messages to local business prospects within their licensed territory. By creating an account and using AgentCEO, you agree to these Terms of Service in full.
2. User Responsibilities
As an AgentCEO partner, you agree to use the platform solely for legitimate B2B outreach to business owners and decision-makers. You must not use AgentCEO to:
- Contact individuals in a personal or consumer capacity
- Send messages unrelated to the AgentCEO service offering
- Misrepresent your identity or your affiliation with AgentCEO
- Violate any applicable federal, state, or local law or regulation
3. Opt-Out Compliance
You must honor all opt-out requests immediately and without exception. When a recipient replies STOP (or any recognized opt-out keyword), no further messages may be sent to that number. AgentCEO automatically processes STOP replies, but you remain responsible for ensuring compliance with applicable messaging regulations, including the TCPA and any carrier requirements.
4. No Spam
The AgentCEO platform may not be used to send unsolicited messages to consumers or to any recipient who has previously opted out. Bulk, indiscriminate, or non-targeted messaging that constitutes spam under applicable law is strictly prohibited. Violations of this section may result in immediate account termination and may expose you to legal liability.
5. Payment Terms
AgentCEO operates on a subscription basis. By activating a territory, you authorize recurring charges to your payment method at the then-current subscription rate. You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period; no partial refunds are issued for unused time unless required by law.
6. Termination
AgentCEO reserves the right to suspend or terminate your account at any time, with or without notice, if you violate these Terms of Service, engage in fraudulent activity, or use the platform in a manner that exposes AgentCEO or its users to legal or reputational harm. Upon termination, your access to the platform and your territory will be revoked and any pending outreach will be halted.
7. Limitation of Liability
To the maximum extent permitted by applicable law, AgentCEO and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or loss of goodwill — arising out of or in connection with your use of the platform, even if advised of the possibility of such damages. AgentCEO's total liability to you for any claim arising under these Terms shall not exceed the amount you paid to AgentCEO in the twelve (12) months preceding the claim.
8. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
