Terms of Service

1. Service Description

AgentCEO is a B2B platform with two sides:

• For partners — a territory-based business where partners use AgentCEO's tools to prospect local trade businesses via SMS, manage conversations, and earn recurring commission (70% of subscriber revenue).
• For trade businesses — an AI-powered receptionist that answers calls 24/7, books jobs, and texts job details to the business owner. Activated via a 3-day free trial with no credit card required.

By creating an account and using AgentCEO, you agree to these Terms of Service in full.

2. User Responsibilities

As an AgentCEO partner, you agree to use the platform solely for legitimate B2B outreach to business owners and decision-makers. You must not use AgentCEO to:

• Contact individuals in a personal or consumer capacity
• Send messages unrelated to the AgentCEO service offering
• Misrepresent your identity or your affiliation with AgentCEO
• Violate any applicable federal, state, or local law or regulation

3. Opt-Out Compliance

You must honor all opt-out requests immediately and without exception. When a recipient replies STOP (or any recognized opt-out keyword), no further messages may be sent to that number. AgentCEO automatically processes STOP replies, but you remain responsible for ensuring compliance with applicable messaging regulations, including the TCPA and any carrier requirements.

4. No Spam

The AgentCEO platform may not be used to send unsolicited messages to consumers or to any recipient who has previously opted out. Bulk, indiscriminate, or non-targeted messaging that constitutes spam under applicable law is strictly prohibited. Violations of this section may result in immediate account termination and may expose you to legal liability.

5. Payment Terms

Trade business subscriptions are billed at the current subscription rate ($397/month), following a 3-day free trial period. The trial begins when the business owner activates their receptionist in the portal — not when the account is created. No credit card is required to start the trial. After the trial, continued access requires an active payment method. You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period; no partial refunds are issued for unused time unless required by law.

6. AI Receptionist Service

When activated, the AI receptionist answers incoming calls to your forwarded business number. It speaks conversationally, captures caller details (name, issue, contact information), and books appointments. Job details are sent to you via text message. The receptionist operates 24/7 and does not identify itself as AI to callers. You may deactivate the service at any time by removing call forwarding.

7. Free Trial

New trade business accounts receive a 3-day free trial of the AI receptionist service. The trial period begins when you activate call forwarding in the AgentCEO portal — not when your account is first created. During the trial, all receptionist features are fully available. If you do not add a payment method before the trial ends, your account will be paused and the receptionist will stop answering calls. No charges are incurred during the trial period.

8. Termination

AgentCEO reserves the right to suspend or terminate your account at any time, with or without notice, if you violate these Terms of Service, engage in fraudulent activity, or use the platform in a manner that exposes AgentCEO or its users to legal or reputational harm. Upon termination, your access to the platform and your territory will be revoked and any pending outreach will be halted.

9. Limitation of Liability

To the maximum extent permitted by applicable law, AgentCEO and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or loss of goodwill — arising out of or in connection with your use of the platform, even if advised of the possibility of such damages. AgentCEO's total liability to you for any claim arising under these Terms shall not exceed the amount you paid to AgentCEO in the twelve (12) months preceding the claim.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
